Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the websites, products, and services operated by AZ Labs, LLC (“AZ Labs,” “we,” “us,” or “our”), including theazlabs.com, zeylo.ai, and any related pages, applications, or interfaces (together, the “Services”). By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. By using the Services you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Use of the Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms. Some parts of the Services (including Zeylo) may be available by invitation only or subject to additional terms presented at the time of access.

3. Accounts

If you create an account, you are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we believe are being used unlawfully.

4. Acceptable use

You agree not to:

  • violate any law or third-party right;
  • reverse engineer, decompile, scrape, or attempt to derive the source code of the Services, except as expressly permitted by law;
  • introduce viruses, malware, or other harmful code, or otherwise interfere with the operation, security, or integrity of the Services;
  • probe, scan, or test the vulnerability of the Services or any related system, or breach any authentication or security measures;
  • use automated means (bots, crawlers, scrapers) to access the Services except as expressly permitted;
  • impersonate any person or entity, or misrepresent your affiliation;
  • use the Services to send unsolicited communications or to harass, abuse, or harm others;
  • copy, modify, distribute, sell, license, or create derivative works of the Services or any content on them without our prior written permission.

5. User content

If the Services allow you to submit content (such as messages, trip details, or feedback), you retain ownership of what you submit. You grant AZ Labs a worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), and use that content solely to operate, secure, and improve the Services. You are responsible for what you submit and represent that you have the necessary rights to do so.

6. Intellectual property

The Services and all associated content, software, trademarks, logos, and designs are owned by AZ Labs or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted above, no rights are granted to you in the Services.

7. Third-party services and links

The Services may contain links to, or integrations with, third-party websites, products, or services (for example, reservation partners or content providers). We do not control and are not responsible for those third parties, and their inclusion does not imply endorsement. Your use of a third-party service is subject to that third party’s terms and privacy practices.

8. Fees, bookings, and travel information

Some parts of the Services may show pricing, availability, or itineraries derived from third-party providers. We make reasonable efforts to keep such information accurate but do not warrant its completeness or availability. Any booking or purchase is subject to the terms of the provider fulfilling that transaction. AZ Labs is not the seller or provider of third-party travel services and is not responsible for the conduct of those providers.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. AZ LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AZ LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO THIS SECTION APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless AZ Labs and its affiliates, officers, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party right.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Services. Upon termination, the sections of these Terms that by their nature should survive will continue to apply, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

13. Changes to the Services or these Terms

We may modify or discontinue the Services, or change these Terms, at any time. When we make material changes to these Terms, we will update the “Last updated” date and, where appropriate, notify you through the Services. Your continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You and AZ Labs agree to submit to the exclusive jurisdiction of the state and federal courts located in Marin County, California, for the resolution of any disputes arising out of or relating to these Terms or the Services, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

15. Miscellaneous

These Terms, together with any additional terms presented within specific Services, constitute the entire agreement between you and AZ Labs regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign these Terms without our written consent; we may assign them freely.
